Nomination of Alberta director |
After many years of service on the COPA Board, including most recently as chairman, Alberta and NWT Director Ken McNeill has decided to retire from the Board. Since McNeill is leaving in the first two years of his current four-year term, an election of a replacement must occur. The following is a reprint of the pertinent areas of the COPA Bylaws regarding nominations. 7-B Duties and Responsibilities
The affairs of the Association shall be managed by the Board of Directors which shall supervise, control and direct all activities of the Association, its committees, publications, business activities, disbursement of funds and the determination of its policies.
The Board shall establish all policies, generally, for the protection and interests of the Association on the basis of the expressed will of the members and the long-term financial stability of the Association.
7-D Nomination of Directors
(1) At least 90 days before an election of Directors, the Secretary shall publish a notice to members informing them of their rights to nominate Directors.
(2) Any Regular, Family or Designated Member of the Association, in good standing, may be nominated in writing by five voting members in good standing. To be valid, a nomination shall be accepted in writing by the nominee. (Note: for this election, nominations must be received at the COPA office via mail or fax by July 16, 2001).
(3) The nominee and nominators shall all reside in the region of Canada that the nominee wishes to represent.
7-E Election of Directors
(Note: This article constitutes notice of nomination for a replacement COPA director representing Alberta and the Northwest Territories.)
(2) The Secretary shall cause to be prepared a notice of election, which contains the names of the nominees.
(3) The Secretary shall cause to be sent to each voting member, enclosed with the the Association’s publication, a ballot and a list of all eligible nominees in the Member’s region and shall include a self addressed return envelope marked “ballot” and containing a designated space on the front of the envelope to insert the Member’s membership number.
(4) Each Regular, Family or Designated Member in good standing shall have one vote for each office in the member’s region.
(5) Election shall be by a plurality of votes from the members in the region for which the director is nominated and seeking election.
(6) Prior to the election, the Board shall appoint three members as returning officers for that election.
(7) The returned ballot envelopes shall be opened, and the ballots counted in the presence of the returning officers. For a ballot to be valid for certification, it must be returned in the provided envelope with the Member’s membership number clearly shown on the exterior of
the envelope and be received by the election date indicated in section
7-E-(1) of these by-laws.
(8) The election results of votes cast and Directors elected shall be published in the next edition of the Association’s membership publication.
Should an election be necessary (more than one nomination) the August 2001 issue of Canadian Flight will contain a list of nominees and election ballots along with a return envelope. Election ballots will be accepted at COPA headquarters until 17:00 EST Sept. 14, 2001.
